Terms of Service and Software License

These terms explain the rules for using Gicho.tech OS and its connected school-management services.

1. Agreement and authority

These Terms of Service and Software License (“Terms”) are an agreement between Gicho.tech (“Gicho.tech,” “we,” “us,” or “our”) and the school, business, or individual that creates, purchases, administers, or uses a Gicho.tech OS account (“Customer” or “you”). By creating an account, connecting a third-party service, or using Gicho.tech OS, you agree to these Terms and our Privacy Policy.

If you use Gicho.tech OS for a school or other organization, you represent that you have authority to accept these Terms for that organization and to authorize its users and data connections. You must be legally able to enter a binding agreement.

2. The service

Gicho.tech OS provides tools for martial-arts school operations, including websites, enrollment, schedules, attendance, student progression, family portals, communications, products, orders, inventory, reporting, and connections to third-party services. Features may vary by plan, provider availability, school configuration, and release stage.

Gicho.tech OS is an operational system, not an accounting, legal, tax, medical, or financial adviser. Customers remain responsible for professional advice, business decisions, school policies, instruction, student safety, and compliance obligations.

3. Limited software license

Subject to these Terms and payment of applicable fees, Gicho.tech grants Customer a limited, non-exclusive, non-transferable, revocable right during the subscription term to access and use Gicho.tech OS for Customer’s internal school operations. Customer may allow authorized owners, staff, instructors, parents, guardians, and students to use the service only through the roles and permissions Customer assigns.

Customer may not copy, sell, sublicense, rent, reverse engineer, bypass access controls, interfere with the service, probe for vulnerabilities without written authorization, use the service to violate law or another person’s rights, or access another school’s data.

4. Accounts and school responsibilities

  • Keep account, recovery, and contact information accurate.
  • Protect passwords, authentication methods, invitations, and authorized devices.
  • Assign access only to people who need it and promptly remove access when roles change.
  • Maintain lawful authority to collect, upload, use, and communicate with school data.
  • Review imported information, automation settings, templates, prices, schedules, and reports.
  • Notify Gicho.tech promptly of suspected unauthorized access or misuse.

Customer is responsible for activity performed through its accounts except to the extent caused by Gicho.tech’s breach of these Terms or failure to use reasonable safeguards.

5. Customer data

As between Customer and Gicho.tech, Customer retains its rights in data submitted to or generated through its school workspace (“Customer Data”). Customer gives Gicho.tech a limited right to host, process, transmit, display, back up, and otherwise use Customer Data only to provide, secure, support, and improve the service; comply with law; and fulfill Customer’s documented choices.

Customer determines which school records are entered, which users may access them, which communications are sent, and which third-party services are connected. Gicho.tech does not sell Customer Data or use one school’s identifiable data to benefit another school.

6. QuickBooks and other connected services

If Customer connects a QuickBooks Online company, Customer authorizes Gicho.tech OS to access and use the QuickBooks data and permissions presented during Intuit’s authorization process. Depending on enabled workflows, this may include customers, Products and Services, invoices, invoice status, balances, payment references, and related accounting identifiers. Gicho.tech uses that data only to provide the connected accounting, invoicing, catalog, reconciliation, and payment-status workflows selected by Customer.

QuickBooks and QuickBooks Payments remain services provided by Intuit under Customer’s separate agreement with Intuit. Intuit-hosted pages handle QuickBooks authentication and invoice payment. Gicho.tech does not receive card numbers or security codes from those hosted payment pages. Customer remains responsible for its QuickBooks company, accounting records, merchant settings, fees, taxes, refunds, recurring templates, and Intuit account.

Customer may disconnect QuickBooks from Gicho.tech OS payment settings or through Intuit. Disconnecting stops new API access but does not automatically erase historical Gicho.tech records needed to document orders, invoices, payments, audit events, or legal obligations. See the retention and deletion section for details.

Stripe, Brevo, domain providers, and other connected services are also governed by their own terms and privacy practices. Gicho.tech is not responsible for a third-party service’s availability, actions, fees, changes, or handling of data outside Gicho.tech OS.

7. Fees, billing, and payment processing

Pricing, billing dates, included services, trials, and renewal terms are stated in the applicable order, subscription, or written offer. Unless otherwise stated, fees are due in advance and are non-refundable except where required by law or expressly agreed in writing. Taxes and third-party provider fees may apply.

Gicho.tech OS can coordinate payments through connected providers, but the payment provider performs payment processing. Customer is responsible for reviewing transactions, reconciliation, disputes, refunds, and provider notices.

8. Communications and consent

Customer is responsible for obtaining and recording legally sufficient consent before sending email or text messages, honoring opt-outs and quiet hours, and using appropriate templates and audiences. Gicho.tech provides preference and delivery tools but does not determine whether a particular message is lawful for Customer to send.

9. Security and acceptable use

Gicho.tech uses reasonable administrative, technical, and organizational safeguards. Customer must not introduce malicious code, overload the service, attempt unauthorized access, scrape restricted information, misuse personal data, or use Gicho.tech OS for unlawful, deceptive, abusive, discriminatory, or harmful activity.

10. Gicho.tech property and feedback

Gicho.tech and its licensors own the service, software, designs, documentation, trademarks, and related intellectual property, excluding Customer Data. If Customer provides feedback, Gicho.tech may use it without restriction or obligation, provided we do not identify Customer publicly without permission.

11. Availability and changes

We work to keep the service reliable, but do not promise uninterrupted or error-free operation. Maintenance, security work, provider outages, beta changes, or circumstances outside reasonable control may affect availability. We may change features to improve, secure, or comply with law, and will provide reasonable notice when a material change significantly reduces paid functionality.

12. Suspension, termination, and export

Customer may stop using the service and disconnect providers at any time. Subscription cancellation and effective dates follow the applicable order or written agreement. We may suspend or terminate access for nonpayment, material breach, security risk, unlawful use, or conduct that threatens the service or others. When practical, we will provide notice and an opportunity to cure.

Before termination, Customer should use available exports to retrieve its data. Following termination, Gicho.tech will retain or delete data as described in the Privacy Policy, subject to backups, security records, legal obligations, and legitimate recordkeeping.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” GICHO.TECH DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT REPORTS, AUTOMATIONS, THIRD-PARTY DATA, OR PROVIDER RESULTS WILL BE COMPLETE OR ERROR FREE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY THAT CANNOT LAWFULLY BE EXCLUDED.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY. GICHO.TECH’S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS CUSTOMER PAID TO GICHO.TECH FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply where prohibited by law and do not limit liability for fraud, willful misconduct, or obligations that cannot lawfully be limited.

15. General terms

These Terms, any applicable order, and the Privacy Policy form the agreement concerning the service. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. Customer may not assign these Terms without our consent except as part of a merger or sale of substantially all assets; Gicho.tech may assign them as part of a reorganization, financing, merger, or sale of the service.

Applicable law governs these Terms without regard to conflict-of-law rules. Before filing a formal claim, each party agrees to make a good-faith effort to resolve the issue through direct written communication, except where urgent injunctive relief is appropriate.

16. Changes and contact

We may update these Terms as the service or law changes. We will revise the effective date and provide additional notice when changes are material. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
